TERMS OF SERVICE

The agreement.

By booking an audit, you agree to these terms. They're written in plain language because you shouldn't need a lawyer to understand them.

1. Who we are

Vigil Audit is operated by A Vigil Company, based in Dallas, Texas, USA ("Vigil," "we," "us"). When you book an audit through vigilaudits.com, you ("Customer," "you") are entering into this agreement with us.

2. What we provide

We provide an operational audit service for trucking fleets. Specifically:

  • A scheduled intake call lasting approximately 45–60 minutes
  • A written audit report delivered within 7 business days of the intake call
  • The report contains findings about your fleet operations, recommended fixes, and a 90-day implementation roadmap

The audit is informational. It is not legal, financial, tax, accounting, or compliance advice. You are responsible for your own decisions and for confirming any factual claims with qualified professionals before acting on them.

3. Pricing and payment

  • Founding tier: $499 per audit, available to the first ten fleets only. Includes case study rights (you may opt to remain anonymous).
  • Standard tier: $999 per audit. Fully confidential.
  • Payment is due in full at booking, processed by Stripe. We accept major credit and debit cards.
  • All prices are in USD and exclude any applicable sales tax (which we will calculate and add at checkout where required).

4. Refunds and cancellations

  • You may cancel and receive a full refund any time before your intake call begins.
  • Once the intake call begins, the audit work has started. Refunds become case-by-case at our discretion.
  • If we fail to deliver the report within 14 days of the intake call (absent circumstances beyond our control or delays caused by you), we'll refund 50% of the audit fee on request.
  • If your audit identifies less than $5,000 in annualized recovery opportunities, contact us within 30 days of report delivery and we will either dig deeper at no charge or refund the audit fee.

5. Your obligations

For us to deliver the audit, you agree to:

  • Provide accurate contact information at booking
  • Show up for the intake call at the scheduled time, or reschedule with at least 24 hours' notice
  • Answer interview questions truthfully and to the best of your knowledge
  • Authorize us to record the call for the purpose of producing your report

6. Confidentiality

We treat the contents of your intake call and audit report as confidential. We will not disclose them to any third party except: (a) the operational vendors we use to run the service, (b) as required by law, or (c) in the case of founding-tier customers, anonymized references in marketing materials per Section 7.

7. Case studies (founding tier only)

By choosing the $499 founding tier, you grant us a non-exclusive, royalty-free license to reference your fleet's name and high-level findings in marketing materials (testimonials, case studies, social posts). You may, at any time, request that any specific case study reference your fleet anonymously instead. Standard-tier customers ($999) do not grant this license.

8. Intellectual property

The written audit report we deliver to you is yours to use in any way you see fit within your business: share with your team, hire contractors to implement, reuse its findings indefinitely. You may not, however, redistribute the report commercially, resell it, or publish it publicly without our written consent.

All Vigil branding, methodology, prompts, and software remain our property.

9. No employment or partnership

This is a service contract. Nothing in this agreement creates an employment relationship, partnership, joint venture, or fiduciary duty. We are an independent contractor delivering a one-time analysis.

10. Limitation of liability

To the maximum extent permitted by law, our total liability to you under this agreement is limited to the amount you paid for the audit. We are not liable for indirect, consequential, incidental, special, or punitive damages — including lost profits, lost business opportunities, or damages from decisions you make based on the report.

11. Disclaimer of warranties

The audit and report are provided "as is." While we work hard to make them accurate and useful, we make no guarantees about specific savings, outcomes, or results. Industry benchmarks and risk modeling in the report are estimates based on publicly available data and our experience — they are not predictions.

12. Indemnification

You agree to indemnify and hold us harmless from claims arising from: (a) your use of the report, (b) inaccurate information you provided to us during the intake call, or (c) decisions you made in reliance on the report.

13. Governing law and disputes

This agreement is governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles. Any dispute arising from this agreement will be resolved in the state or federal courts located in Dallas County, Texas.

Before filing any lawsuit, you agree to first contact us at support@vigilaudits.com and attempt to resolve the dispute informally for at least 30 days.

14. Changes to these terms

We may update these terms from time to time. The version in effect when you book applies to your audit. If we make material changes, we'll update the "last updated" date at the top of this page.
